These Terms and Conditions ("Terms") govern your access to and use of the Kinetus BioLabs website and any purchase of products offered through the website.

"Kinetus BioLabs," "Kinetus," "we," "us," and "our" refer to the applicable legal entity operating the Kinetus BioLabs business.

By accessing the website, creating an account, submitting an order, or purchasing a product, you agree to these Terms, together with any applicable Privacy Policy, Shipping Policy, Return & Refund Policy, and other policies posted on the website.

We reserve the right to modify these Terms from time to time. Updated Terms will be posted on this website with a revised "Last Updated" date. Your continued use of the website following such changes constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

Unless expressly stated otherwise, products offered by Kinetus BioLabs are sold strictly for legitimate scientific research and laboratory use only.

Products are not intended for human consumption, human administration, veterinary use, animal consumption, diagnosis, treatment, prevention, or cure of any disease or medical condition.

Products offered through this website are not represented as approved drugs, medicines, medical devices, dietary supplements, or therapeutic products unless expressly identified as such and legally authorized for that purpose.

Kinetus BioLabs does not provide medical advice, treatment recommendations, dosing instructions, or instructions for administering research products to humans or animals.

By placing an order, you represent and warrant that:

• You are at least 18 years of age, or the age of majority applicable in your jurisdiction, whichever is greater.
• You are purchasing products for legitimate research or laboratory purposes.
• You will not use, administer, or facilitate the administration of any product to humans or animals.
• You will not represent any product as being approved for human or veterinary use.
• You possess the appropriate knowledge, training, facilities, and procedures necessary to safely handle research materials.
• You will comply with all applicable federal, provincial, territorial, municipal, and local laws and regulations.
• You will not use any product for an unlawful purpose.

Kinetus BioLabs reserves the right to refuse or cancel any order where we reasonably believe the intended use may be inconsistent with these Terms or applicable law.

Important: A "Research Use Only" designation does not itself determine the legal classification or regulatory status of a product. Customers are responsible for complying with applicable laws, and Kinetus BioLabs reserves the right not to supply any product where sale or distribution may be prohibited.

We make reasonable efforts to ensure that product descriptions, specifications, photographs, availability, pricing, packaging, and other information displayed on the website are accurate.

However, product images may be illustrative and packaging may change from time to time.

We do not guarantee that:

• product descriptions are completely error-free;
• photographs precisely represent the physical product;
• product information is always current;
• products will be suitable for a particular research application; or
• website content will always be available without interruption.

The purchaser is responsible for determining whether a product is appropriate for the purchaser's intended legitimate research application.

Where applicable, certificates of analysis ("COAs") and laboratory testing documentation may be provided for individual batches. Testing documentation relates only to the specific batch identified in the applicable report.

Where third-party laboratory testing is represented on our website or accompanying documentation, such testing refers to the specific batch identified by the applicable laboratory report.

Testing may include, where applicable:

• HPLC analysis;
• LC-MS or mass spectrometry;
• identity testing;
• purity testing;
• endotoxin testing;
• sterility testing; or
• other analytical testing.

The specific tests performed will depend upon the product and the applicable laboratory report.

Third-party testing does not constitute approval, certification, authorization, or endorsement by Health Canada or any other government agency.

Customers should review applicable laboratory documentation before using a product for research.

All prices are displayed in Canadian dollars unless otherwise stated.

Submitting an order constitutes an offer to purchase the selected products.

An automated order confirmation acknowledges receipt of the order but does not necessarily constitute acceptance of the order.

Kinetus BioLabs reserves the right to accept, decline, limit, or cancel an order at any time where permitted by law, including where:

• a product is unavailable;
• pricing or product information contains an error;
• payment cannot be verified;
• the order appears inconsistent with these Terms;
• the intended use appears inconsistent with research-only requirements;
• shipping to the requested destination is prohibited or impractical; or
• we reasonably believe fulfillment could violate applicable law or regulation.

If an order is cancelled after payment has been received, any applicable refund will be processed in accordance with our Refund Policy and applicable law.

Payment methods currently accepted by Kinetus BioLabs include:

• Interac e-Transfer;
• any additional payment methods displayed at checkout.

Payment must be received before an order is processed unless otherwise agreed in writing.

Kinetus BioLabs reserves the right to change available payment methods at any time.

Kinetus BioLabs currently ships within Canada, subject to product availability, applicable law, and shipping restrictions.

Orders are generally processed within 1–2 business days following confirmation of payment.

Estimated delivery times are provided for convenience only and are not guaranteed. Delivery times may vary depending on destination, carrier capacity, weather, service interruptions, and other circumstances beyond our reasonable control.

Where tracking is available, tracking information will be provided to the customer.

Customers are responsible for providing accurate shipping information. Kinetus BioLabs is not responsible for delays or additional costs resulting from incorrect or incomplete delivery information supplied by the customer.

Due to the nature of research materials and the importance of product integrity, certain products may not be eligible for return once delivered. All Sales are final.

Unless otherwise required by applicable law, opened, used, altered, damaged after delivery, or improperly stored products may not be eligible for return.

Customers should contact Kinetus BioLabs promptly if:

• an order arrives damaged;
• an incorrect product was shipped; or
• a product appears to have a manufacturing or packaging defect.

Photographs and other documentation may be requested to evaluate a claim.

Nothing in this section is intended to limit any non-waivable rights or remedies available to consumers under applicable Canadian law.

Customers are responsible for appropriately storing and handling products after delivery.

Storage conditions may vary by product and should be determined using the applicable product documentation, label, COA, or manufacturer's specifications.

Kinetus BioLabs is not responsible for degradation, contamination, damage, or loss resulting from improper storage, handling, transportation after delivery, unauthorized reconstitution, or other misuse.

All content appearing on the Kinetus BioLabs website—including logos, trademarks, product names, photographs, graphics, text, packaging designs, videos, illustrations, website designs, and other materials—is owned by or licensed to Kinetus BioLabs unless otherwise indicated.

You may not reproduce, copy, modify, distribute, sell, publish, or create derivative works from website content without prior written authorization.

"Kinetus BioLabs" and associated logos and branding may not be used without written permission.

You agree not to use the website or products for any unlawful purpose.

You specifically agree NOT to:

• administer any research product to humans or animals;
• consume any product;
• represent a research product as an approved medication or therapeutic product;
• make medical, therapeutic, disease-treatment, or disease-prevention claims concerning our research products;
• misrepresent your intended research use;
• resell products without authorization;
• use the website for fraudulent purposes;
• attempt to gain unauthorized access to our systems;
• interfere with website security or functionality;
• scrape or systematically collect website data without authorization; or
• violate any applicable law or regulation.

Kinetus BioLabs reserves the right to suspend or refuse service where we reasonably believe these Terms have been violated.

To the maximum extent permitted by applicable law, the website and products are provided on an "AS IS" and "AS AVAILABLE" basis.

Kinetus BioLabs makes no representations or warranties, express or implied, regarding the suitability of a product for any particular research application.

We do not warrant that:

• the website will always be available;
• the website will be uninterrupted or error-free;
• website content will always be accurate or current; or
• the website will be free from viruses or other harmful components.

Nothing in these Terms excludes any warranty, condition, representation, or statutory right that cannot lawfully be excluded under applicable law.

To the maximum extent permitted by applicable law, Kinetus BioLabs, its owners, directors, officers, employees, contractors, agents, and affiliates shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the website or purchase, possession, storage, handling, or misuse of products.

This includes, without limitation, claims arising from:

• improper storage;
• improper handling;
• unauthorized use;
• use contrary to product documentation;
• use for human or animal administration;
• use contrary to applicable law; or
• reliance upon information provided for general research purposes.

To the maximum extent permitted by applicable law, our aggregate liability relating to a particular purchase shall not exceed the amount actually paid to Kinetus BioLabs for the product giving rise to the claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited.

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Kinetus BioLabs and its owners, directors, officers, employees, contractors, agents, and affiliates from claims, losses, damages, liabilities, costs, and reasonable legal expenses arising from:

• your breach of these Terms;
• your violation of applicable laws;
• your misuse of a product;
• your unauthorized administration or consumption of a product;
• your misrepresentation of intended use; or
• your violation of another person's rights.

This provision does not apply to the extent that the claim results from Kinetus BioLabs' own negligence, wilful misconduct, or other liability that cannot legally be excluded.

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any mandatory consumer-protection rights or other applicable law, disputes arising from these Terms or your use of the website shall be subject to the applicable courts of the Province of Alberta.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be limited or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms, together with the applicable Privacy Policy, Shipping Policy, Return & Refund Policy, and other policies expressly incorporated into these Terms, constitute the agreement between you and Kinetus BioLabs regarding your use of the website and purchase of products.

If there is a conflict between these Terms and a mandatory requirement of applicable law, the applicable law will prevail to the extent of the conflict.
